PLEASE READ THESE TERMS CAREFULLY BEFORE PURCHASING OR USING OUR PRODUCTS.

By purchasing or using any product or service from VALDAN SOLUTIONS INC. ("we," "our," or "us"), you ("Customer," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not purchase or use our products.

2. PRODUCTS AND SERVICES

2.1 Digital Products
We offer digital information products including but not limited to:
Enterprise Data Platform Foundation Package, which includes:
a) Implementation guides and documentation
b) Excel tools and calculators
c) Architecture diagrams and templates
d) Related educational materials and training content

2.2 Product Delivery
All products are delivered digitally via download link sent to your email address. No physical products will be shipped.

2.3 Product Access
Upon successful payment, you will receive immediate access to download your purchased products. Download links are valid for 30 days from date of purchase. If your download link expires, contact admin@edataplatforms.com for a new link.

3. LICENSE GRANT

3.1 Starter License (Architecture Diagrams Kit)
Upon purchase, we grant you a non-exclusive, non-transferable, perpetual license for one (1) user to download and use the included diagrams and checklist for personal or single-organization internal use. The Starter license does not include implementation guides, cost tools, methodology documents, or the executive presentation.

3.2 Individual License
Upon purchase, we grant you a non-exclusive, non-transferable, perpetual license for one (1) user to:
a) Download and use the products for your personal or single-organization use
b) Reference the materials in your work
c) Implement the guidance and patterns described
d) Customize templates and tools for your internal use

3.3 Team License
Upon purchase, we grant a non-exclusive, non-transferable, perpetual license for up to ten (10) named users within one (1) organization. All rights granted under the Individual License extend to each authorized user. The total number of concurrent authorized users may not exceed ten (10) at any time.

3.4 Enterprise License (contact admin@edataplatforms.com for details)
Enterprise licenses permit use by unlimited users within a single organization as specified in the purchase agreement.

3.5 Restrictions
You may NOT:
a) Resell, redistribute, or share the products with unauthorized parties
b) Publicly post or republish the materials
c) Claim authorship or remove author attribution
d) Create derivative products for commercial sale
e) Use the products for illegal purposes
f) Reverse engineer or decompile any software components

3.6 License tiers and detailed usage rights are defined in the End User License Agreement included with the Licensed Materials.

4. INTELLECTUAL PROPERTY

4.1 Ownership
All products remain the exclusive property of VALDAN SOLUTIONS INC. Your purchase grants a license to use, not ownership of the intellectual property.

4.2 Copyright
All content is protected by Canadian and international copyright laws.

4.3 Trademarks
"VALDAN SOLUTIONS INC.," our logo, and product names are trademarks of VALDAN SOLUTIONS INC.

5. PRICING AND PAYMENT

5.1 Pricing
All prices are listed in CAD (Canadian Dollars) unless otherwise specified. Vendor currency conversion will be used for international buyers.
Prices are subject to change without notice, but changes will not affect orders already placed.

5.2 Payment Processing
Payments are processed through third-party payment processors (Stripe via Payhip, or other processors as available). We do not store your credit card information.

5.3 Taxes
Prices do not include applicable taxes (GST/HST, sales tax, VAT). You are responsible for all applicable taxes based on your location.

5.4 Failed Payments
If payment fails, access to products will be denied until payment is successfully processed.

6. REFUND POLICY

6.1 30-Day Money-Back Guarantee
We offer a 30-day money-back guarantee on all products. If you are not satisfied for any reason, contact us at admin@edataplatforms.com within 30 days of purchase for a full refund.

6.2 Refund Process
a) Refund requests must be submitted via email to admin@edataplatforms.com
b) Include your order number and reason for refund
c) Refunds are processed within 5-7 business days
d) Refunds are issued to the original payment method

6.3 No Partial Refunds
We do not offer partial refunds. Refunds are for the full purchase price only.

6.4 Access Termination
Upon refund, your license to use the products is immediately terminated. You must delete all downloaded materials.

7. EDUCATIONAL NATURE OF PRODUCTS

7.1 Information Only
Our products provide educational information, guidance, and templates. They are NOT:
a) Professional consulting services
b) Customized advice for your specific situation
c) Implementation services
d) Ongoing support or maintenance

7.2 No Professional Relationship
Purchase of products does not create a professional services relationship, consulting engagement, or partnership between you and VALDAN SOLUTIONS INC.

7.3 Your Responsibility
You are solely responsible for:
a) Evaluating whether the products meet your needs
b) How you implement the guidance provided
c) Decisions made based on the materials
d) Results of your implementations
e) Compliance with applicable laws and regulations

8. DISCLAIMER OF WARRANTIES

8.1 "AS IS" Provision
THE PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

8.2 No Warranty
WE SPECIFICALLY DISCLAIM ALL WARRANTIES INCLUDING BUT NOT LIMITED TO:
a) MERCHANTABILITY
b) FITNESS FOR A PARTICULAR PURPOSE
c) NON-INFRINGEMENT
d) ACCURACY OR COMPLETENESS OF CONTENT
e) ERROR-FREE OPERATION
f) RESULTS OR OUTCOMES

8.3 No Guarantee of Results
We make no guarantee that:
a) The products will meet your specific requirements
b) Implementation will result in cost savings or efficiency gains
c) The guidance will be suitable for your environment
d) Use of the materials will be uninterrupted or error-free

9. LIMITATION OF LIABILITY

9.1 Maximum Liability
OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE PRODUCTS SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE PRODUCTS.

9.2 Excluded Damages
IN NO EVENT SHALL VALDAN SOLUTIONS INC., ITS DIRECTORS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR:
a) INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
b) LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES
c) COSTS OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES
d) BUSINESS INTERRUPTION
e) ANY DAMAGES ARISING FROM YOUR USE OR INABILITY TO USE THE PRODUCTS

9.3 Basis of Bargain
You acknowledge that this limitation of liability is a fundamental element of the basis of the bargain between us and you, and that we would not provide the products without these limitations.

10. INDEMNIFICATION

10.1 Your Indemnity
You agree to indemnify, defend, and hold harmless VALDAN SOLUTIONS INC., its directors, officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:
a) Your use or misuse of the products
b) Your violation of these Terms
c) Your implementation of guidance or materials
d) Your violation of any third-party rights
e) Any decisions you make based on the products

11. CONFIDENTIALITY AND DATA PROTECTION

11.1 Personal Information
We collect and process personal information as described in our Privacy Policy (separate document).

11.2 Customer Data
You retain all rights to any data, information, or materials you create or use in connection with the products.

11.3 Confidential Information
You agree not to disclose any confidential or proprietary information, if found or contained in the products, except as necessary for your licensed use.

12. UPDATES AND MODIFICATIONS

12.1 Product Updates
We may update or modify the products from time to time. You will receive updates for products purchased, when available, at no additional cost.

12.2 Terms Updates
We reserve the right to modify these Terms at any time. Updated Terms will be posted with a new "Last Updated" date. Continued use of products after changes constitutes acceptance of the modified Terms.

13. TERMINATION

13.1 Termination by Us
We may terminate your license and access to products if you:
a) Violate these Terms
b) Use products for unauthorized purposes
c) Engage in fraudulent activity
d) Request a refund (license terminates upon refund)

13.2 Effect of Termination
Upon termination, you must:
a) Immediately cease all use of the products
b) Delete all copies of downloaded materials
c) Destroy any physical copies or derivative works

14. DISPUTE RESOLUTION

14.1 Informal Resolution
Before filing any legal action, you agree to first contact us at admin@edataplatforms.com to attempt to resolve the dispute informally.

14.2 Governing Law
These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict of law principles.

14.3 Jurisdiction
You agree that any legal action or proceeding shall be brought exclusively in the courts located in Edmonton, Alberta, Canada.

14.4 Class Action Waiver
You agree to resolve disputes on an individual basis only, and not as part of any class or representative action.

15. MISCELLANEOUS PROVISIONS

15.1 Entire Agreement
These Terms, together with our Privacy Policy and any purchase-specific agreements, constitute the entire agreement between you and VALDAN SOLUTIONS INC.

15.2 Severability
If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall continue in full force and effect.

15.3 Waiver
Our failure to enforce any right or provision does not constitute a waiver of that right or provision.

15.4 Assignment
You may not assign or transfer these Terms or your license without our written consent. We may assign these Terms without restriction.

15.5 Force Majeure
We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control.

15.6 No Agency
Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship.

15.7 Survival
Provisions that by their nature should survive termination (including warranty disclaimers, liability limitations, indemnification, and dispute resolution) shall survive termination of these Terms.

17. ACCEPTANCE

BY PURCHASING OR USING OUR PRODUCTS, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS OF SERVICE.
