END USER LICENSE AGREEMENT (EULA)

PLEASE READ THIS AGREEMENT CAREFULLY BEFORE USING THE LICENSED
MATERIALS. BY DOWNLOADING, OPENING, OR USING ANY FILES INCLUDED IN
YOUR PURCHASE, YOU AGREE TO BE BOUND BY THIS AGREEMENT.
This End User License Agreement ("Agreement") is a legal agreement
between you ("Licensee") and VALDAN SOLUTIONS INC. ("Licensor,"
"we," or "us") governing your use of the Enterprise Data Platform
Foundation Package and any associated files, documents, tools,
diagrams, templates, and materials ("Licensed Materials").
This Agreement supplements our Terms of Service available at
www.edataplatforms.com. In the event of a conflict between this
Agreement and the Terms of Service, the more restrictive provision
applies.
1. DEFINITIONS
1.1 "Licensed Materials" means all digital files delivered as part
of your purchase, including but not limited to: implementation guides,
architecture diagrams, Excel workbooks, PowerPoint presentations,
methodology documents, checklists, and any updates provided to you.
1.2 "Authorized User" means an individual person authorized to use
the Licensed Materials under your license tier.
1.3 "Organization" means a single legal entity (corporation,
partnership, government department, or non-profit) and its
majority-owned subsidiaries operating under the same name.
1.4 "Internal Use" means use within your Organization for the
purpose of planning, designing, implementing, or evaluating your own
data platform initiatives. Internal Use includes presenting materials
in internal meetings, adapting diagrams for internal documentation,
and using cost tools for internal budgeting.
1.5 "Derivative Work" means any document, presentation, diagram,
or tool that incorporates, adapts, or is substantially based on the
Licensed Materials.
2. LICENSE GRANT
2.1 Starter License (Architecture Diagrams Kit)
If you purchased the Starter license, we grant you a non-exclusive,
non-transferable, perpetual license for ONE (1) Authorized User to:
(a) Download and store the Licensed Materials on devices controlled
by the Authorized User
(b) Use the diagrams and checklist for Internal Use
(c) Modify diagrams by adding your Organization's system names,
logos, and labels for Internal Use
(d) Include modified diagrams in internal presentations and
documents
(e) Print copies for personal reference
The Starter license does NOT include implementation guides, cost
tools, methodology documents, or the executive presentation. Those
are available under the Individual, Team, or Enterprise licenses.
2.2 Individual License
If you purchased the Individual license, we grant you a
non-exclusive, non-transferable, perpetual license for ONE (1)
Authorized User to:
(a) Download and store the Licensed Materials on devices controlled
by the Authorized User
(b) Use all Licensed Materials for Internal Use
(c) Modify, adapt, and customize all editable files (diagrams,
Excel workbooks, presentations, checklists) for Internal Use
(d) Include modified materials in internal presentations,
proposals, and architecture documents within your Organization
(e) Print copies for personal reference
(f) Use the materials as reference when performing consulting work
for clients, provided that you do not deliver unmodified copies
of the Licensed Materials to your clients
The Individual license is for a single named person. It may not be
shared with colleagues, transferred to another person, or used
simultaneously by multiple people.
2.3 Team License
If you purchased the Team license, we grant you a non-exclusive,
non-transferable, perpetual license for up to TEN (10) Authorized
Users within ONE (1) Organization to:
(a) All rights granted under the Individual License, extended to
each Authorized User
(b) Share the Licensed Materials among the Authorized Users via
internal file sharing, shared drives, or collaboration
platforms accessible only to Authorized Users
(c) Use the materials collaboratively for team-based platform
design, architecture reviews, and implementation planning
The Team license requires that you maintain a list of Authorized
Users. If an Authorized User leaves the Organization, their access
must be revoked and may be reassigned to a replacement within the
same Organization. The total number of concurrent Authorized Users
may not exceed ten (10) at any time.
2.4 Enterprise License
Enterprise licenses are negotiated individually. Contact
admin@edataplatforms.com for terms. Enterprise licenses may include:
unlimited users within one Organization, customization services,
consulting hours, or other provisions as agreed in writing.
3. PERMITTED USE
Under any license tier, you MAY:
(a) Modify and customize editable files (Draw.io, Visio, Excel,
PowerPoint) for your Organization's internal purposes
(b) Add your Organization's branding, logos, system names, and
project-specific details to diagrams and templates
(c) Use the cost tools with your own data inputs
(d) Reference the implementation patterns and architectural
guidance in your own internal documentation
(e) Present modified versions of the executive presentation to
your internal stakeholders
(f) Use concepts, patterns, and approaches described in the
guides to inform your own original work
(g) Print reasonable copies for internal reference
4. PROHIBITED USE
Under any license tier, you may NOT:
(a) Resell, sublicense, rent, lease, or otherwise commercially
distribute the Licensed Materials or any Derivative Works, in
whole or in part, whether for profit or not
(b) Share, post, upload, or make the Licensed Materials available
on any public website, forum, repository, file-sharing
service, or social media platform
(c) Share the Licensed Materials with individuals outside your
Organization or beyond your licensed number of Authorized
Users
(d) Remove, alter, or obscure any author attribution, copyright
notices, or proprietary markings
(e) Claim authorship of the Licensed Materials or represent them
as your own original work
(f) Use the Licensed Materials to create a competing commercial
product (such as a data platform guide, course, or toolkit
intended for sale)
(g) Use the Licensed Materials for any unlawful purpose
(h) Provide unmodified copies of the Licensed Materials to clients
as consulting deliverables (you must substantially customize
materials before external delivery)
(i) Use automated tools to extract, scrape, or reproduce the
content of the Licensed Materials for training AI models or
for any machine learning purpose
5. INTELLECTUAL PROPERTY
5.1 Ownership
All intellectual property rights in the Licensed Materials, including
copyrights, trademarks, trade secrets, and any other proprietary
rights, remain the exclusive property of VALDAN SOLUTIONS INC. This
Agreement grants you a license to use the materials, not ownership of
the intellectual property.
5.2 Your Modifications
You own the specific customizations you make (your Organization's
names, labels, data inputs, and original content you add). However,
the underlying structure, frameworks, and original content of the
Licensed Materials remain our property.
5.3 Copyright Notice
The following copyright notice applies to all Licensed Materials:

6. DISCLAIMER OF WARRANTIES
6.1 "AS IS" Provision
THE LICENSED MATERIALS ARE PROVIDED "AS IS" AND "AS AVAILABLE"
WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED.
6.2 No Warranty of Outcomes
WE DO NOT WARRANT OR GUARANTEE THAT:
(a) USE OF THE LICENSED MATERIALS WILL RESULT IN ANY SPECIFIC
COST SAVINGS, PERFORMANCE IMPROVEMENTS, OR BUSINESS OUTCOMES
(b) THE ARCHITECTURAL GUIDANCE IS SUITABLE FOR YOUR SPECIFIC
ENVIRONMENT, REQUIREMENTS, OR CONSTRAINTS
(c) COST ESTIMATES, PRICING DATA, OR FINANCIAL PROJECTIONS ARE
ACCURATE OR CURRENT AT THE TIME OF YOUR USE
(d) THE MATERIALS ARE FREE OF ERRORS, OMISSIONS, OR
INACCURACIES
(e) IMPLEMENTATION BASED ON THE MATERIALS WILL BE SUCCESSFUL
6.3 Educational Nature
The Licensed Materials are educational resources based on the
author's professional experience and publicly available information.
All examples, scenarios, cost figures, and case studies are
hypothetical illustrations. They do not represent any specific
organization's results and should not be relied upon as predictions
of your outcomes.
6.4 Not Professional Advice
The Licensed Materials do not constitute professional consulting,
legal, financial, or technical advice. You should consult with
qualified professionals before making decisions based on the
materials.
6.5 Pricing Data
Cost figures and pricing comparisons in the Licensed Materials are
estimates based on publicly available cloud provider pricing as of
December 2025 through January 2026. Cloud pricing changes
frequently. You are responsible for verifying current pricing with
your cloud provider before making purchasing or architecture
decisions.
7. LIMITATION OF LIABILITY
7.1 Maximum Liability
IN NO EVENT SHALL VALDAN SOLUTIONS INC., ITS OWNER, DIRECTORS,
OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU FOR ANY AMOUNT
EXCEEDING THE PRICE YOU PAID FOR THE LICENSED MATERIALS.
7.2 Exclusion of Damages
IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL,
SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT
LIMITED TO:
(a) LOSS OF PROFITS, REVENUE, OR BUSINESS OPPORTUNITIES
(b) LOSS OF DATA OR DATA BREACH COSTS
(c) COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES
(d) BUSINESS INTERRUPTION OR DOWNTIME
(e) IMPLEMENTATION COSTS OR FAILED IMPLEMENTATIONS
(f) DAMAGES ARISING FROM RELIANCE ON COST ESTIMATES OR
PROJECTIONS IN THE LICENSED MATERIALS
7.3 Acknowledgment
YOU ACKNOWLEDGE THAT THE LICENSED MATERIALS ARE EDUCATIONAL IN
NATURE AND THAT YOU ASSUME ALL RISK ASSOCIATED WITH IMPLEMENTING
ANY GUIDANCE, PATTERN, OR RECOMMENDATION CONTAINED THEREIN.
8. INDEMNIFICATION
You agree to indemnify and hold harmless VALDAN SOLUTIONS INC. from
any claims, damages, losses, liabilities, costs, and expenses
(including reasonable legal fees) arising from:
(a) Your use or misuse of the Licensed Materials
(b) Your breach of this Agreement
(c) Decisions you make or actions you take based on the materials
(d) Your implementation of any guidance in the materials
(e) Claims by third parties related to your use of the materials
(f) Your violation of any applicable law or regulation
9. TERM AND TERMINATION
9.1 Term
This Agreement is effective upon your download of the Licensed
Materials and continues in perpetuity unless terminated.
9.2 Termination for Breach
We may terminate this Agreement immediately if you breach any
provision. Upon termination, you must:
(a) Immediately cease all use of the Licensed Materials
(b) Delete all copies from your devices and storage systems
(c) Destroy any printed copies
(d) Confirm deletion in writing if requested
9.3 Termination Upon Refund
If you receive a refund under our Terms of Service, this Agreement
terminates immediately and you must comply with Section 9.2.
9.4 Survival
Sections 4 (Prohibited Use), 5 (Intellectual Property), 6
(Disclaimer), 7 (Limitation of Liability), 8 (Indemnification), and
11 (Governing Law) survive termination of this Agreement.
10. GENERAL PROVISIONS
10.1 Entire Agreement
This Agreement, together with the Terms of Service and Privacy
Policy, constitutes the entire agreement between you and VALDAN
SOLUTIONS INC. regarding the Licensed Materials.
10.2 Severability
If any provision of this Agreement is found to be invalid or
unenforceable, the remaining provisions continue in full force.
10.3 No Waiver
Our failure to enforce any provision does not constitute a waiver of
that provision or any other provision.
10.4 Assignment
You may not assign or transfer this Agreement or your license
without our prior written consent. We may assign this Agreement
without restriction.
10.5 Amendments
We may update this Agreement from time to time. The current version
will be included in new downloads. Your continued use of the Licensed
Materials after changes constitutes acceptance.

11. GOVERNING LAW AND JURISDICTION
11.1 Governing Law
This Agreement is governed by the laws of the Province of Alberta
and the federal laws of Canada applicable therein, without regard to
conflict of law principles.
11.2 Jurisdiction
Any legal proceedings arising from this Agreement shall be brought
exclusively in the courts of Edmonton, Alberta, Canada.
11.3 Dispute Resolution
Before initiating legal proceedings, you agree to contact us at
admin@edataplatforms.com to attempt informal resolution. Both
parties agree to negotiate in good faith for a minimum of thirty
(30) days before pursuing formal legal action.

13. ACKNOWLEDGMENT
BY DOWNLOADING, OPENING, OR USING THE LICENSED MATERIALS, YOU
ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT, UNDERSTAND IT, AND
AGREE TO BE BOUND BY ITS TERMS AND CONDITIONS.
IF YOU DO NOT AGREE TO THESE TERMS, DO NOT DOWNLOAD OR USE THE
LICENSED MATERIALS AND CONTACT admin@edataplatforms.com WITHIN 30
DAYS OF PURCHASE FOR A FULL REFUND.
